By accessing or using LawFirmResources.ai (“Company,” “we,” “our”), you (“Subscriber”) agree to these Terms & Conditions. If you do not agree, do not use the Services.
1. Services. We provide subscription-based access to the Expert Professionals Directory, the Vendor Directory, and AI-assisted tools for expert referrals and vendor access (“Services”). All experts and vendors are independent third parties.
2. Subscription & Payment. Subscription fees are non-refundable except where required by law. Fees are billed in advance and auto-renew unless canceled before renewal. Subscriber authorizes recurring charges to the payment method on file.
3. Account Responsibility. Subscriber is responsible for account information, credential security, and all activity under their account. Misuse or security concerns may result in suspension or termination.
4. Directory Use. Subscriber may use directory information solely for legitimate professional purposes. Reproduction, scraping, resale, redistribution, or unauthorized sharing of directory content is prohibited. We do not guarantee the accuracy, completeness, suitability, or performance of experts or vendors. We do not guarantee legal outcomes.
5. AI-Assisted Tools. AI-generated matches, suggestions, or referral packages are informational only. They do not constitute legal advice, endorsements, recommendations, or guarantees of suitability. Human discretion is required.
6. Prohibited Conduct. Subscriber shall not share access with non-subscribers, misuse vendor discounts, engage in unlawful activity, attempt to breach system security, or interfere with platform operation. Violations may result in immediate termination without refund.
7. Intellectual Property. All platform content, text, graphics, data structures, videos, trademarks, and directory formats are the exclusive property of the Company. No reproduction or derivative use is permitted without written consent.
8. Disclaimers. Services are provided “as is” and “as available,” with no warranties of any kind, express or implied, including accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. Subscriber uses the Services at their own risk.
9. Limitation of Liability. To the fullest extent permitted by law, the Company is not liable for indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, lost data, business interruption, reliance damages, or any third-party disputes. Total liability shall not exceed the subscription fees paid in the prior twelve (12) months.
10. Indemnification. Subscriber agrees to indemnify and hold the Company harmless from claims, losses, liabilities, damages, costs, and expenses arising out of: (a) use of the Services; (b) interactions with experts or vendors; or (c) violation of these Terms.
11. Termination. We may suspend or terminate access for violations, fraud, misuse, or conduct that harms the Company, experts, vendors, subscribers, or platform security. Termination may occur without notice.
12. Modifications. We may update these Terms at any time by posting revised Terms on the website. Continued use constitutes acceptance of the updated Terms.
13. Governing Law. These Terms are governed by the laws of Ontario (Canada) or Florida (USA), depending on Subscriber’s primary business location, unless otherwise required by local law.
